The agreement between you and Praxis governing your use of our platform. Last updated March 2026.
These Terms of Service ("Terms") govern your access to and use of the Praxis platform and related services provided by Tegence Ltd ("Praxis", "we", "us", "our"). Please read these terms carefully before using our services.
By accessing or using the Praxis platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you may not use our services.
If you are using Praxis on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.
Praxis is an organizational operating system that provides human resource management, workforce planning, payroll processing, performance management, and related tools for organizations operating in Africa.
We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to affected users.
Registration: You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.
Organization accounts: Organization administrators control access, permissions, and data within their organization's Praxis instance. Individual user accounts are subject to the policies set by their organization administrator.
Account security: You are responsible for all activity under your account. Notify us immediately at security@praxis.hr if you suspect unauthorized access.
You agree not to:
Use Praxis for any unlawful purpose or in violation of any applicable local, national, or international law.
Attempt to gain unauthorized access to any part of the platform, other accounts, or connected systems.
Upload or transmit viruses, malware, or any code designed to interfere with the platform's functionality.
Use the platform to store or process data that violates third-party rights, including intellectual property and privacy rights.
Reverse engineer, decompile, or disassemble any part of the Praxis platform.
Use automated systems (bots, scrapers) to access the platform without our written consent.
Your data: You and your organization retain ownership of all data entered into Praxis. We do not claim ownership over your organizational data, employee records, or any content you create within the platform.
License to us: You grant Praxis a limited, non-exclusive license to process, store, and display your data solely for the purpose of providing and improving our services.
Our platform: The Praxis platform, including its software, design, documentation, and intellectual property, remains the exclusive property of Tegence Ltd. These terms do not grant you any rights to our intellectual property except as needed to use the service.
Where Praxis provides payroll computation and bank disbursement services:
Accuracy: You are responsible for ensuring the accuracy of payroll data entered into the platform, including salary figures, deductions, and employee banking details.
Statutory compliance: While Praxis computes statutory deductions based on current tax and regulatory frameworks, your organization remains ultimately responsible for compliance with all employment and tax laws.
Disbursement timing: Payment processing times depend on banking partners and are subject to banking hours, holidays, and processing windows. Praxis is not liable for delays caused by third-party financial institutions.
We strive to maintain high availability of the Praxis platform. However, we do not guarantee uninterrupted or error-free service.
Scheduled maintenance will be communicated in advance where possible. Emergency maintenance may occur without prior notice to address security or stability concerns.
Support is provided through designated channels as specified in your service plan.
Pricing: Service fees are as published on our pricing page or as agreed in your organization's service agreement.
Billing: Fees are billed in advance on a monthly or annual basis, depending on your chosen plan. All fees are non-refundable except as required by law or as specified in your agreement.
Changes: We may adjust pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
Free tier: Organizations using Praxis under the free tier are subject to the usage limits specified on our pricing page.
To the maximum extent permitted by applicable law:
Praxis and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Our total liability for any claim arising from or related to these terms or your use of the platform shall not exceed the amount you paid to Praxis in the twelve months preceding the claim.
These limitations apply regardless of the theory of liability, whether in contract, tort, or otherwise.
You agree to indemnify and hold harmless Praxis, Tegence Ltd, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the platform, violation of these terms, or violation of any third-party rights.
By you: You may terminate your account at any time by contacting us. Organization administrators may terminate their organization's account through the platform settings.
By us: We may suspend or terminate your access if you violate these terms, fail to pay applicable fees, or if we are required to do so by law.
Effect of termination: Upon termination, your right to use the platform ceases. We will make your data available for export for 30 days following termination, after which it may be deleted.
These terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
Any disputes arising from these terms or your use of Praxis shall first be attempted to be resolved through good-faith negotiation. If resolution is not reached within 30 days, disputes shall be submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023.
We may update these Terms of Service from time to time. Material changes will be communicated via the platform or email at least 30 days before taking effect.
Continued use of Praxis after changes become effective constitutes acceptance of the revised terms.
